Foodstead, LLC Private Membership Association Agreement

1. Purpose & Membership

Foodstead, LLC is a private membership association that connects members with locally produced foods, goods, products, and related educational opportunities.

Products offered through Foodstead,LLC are available to active members through its member-only ordering system.

Membership does not grant an ownership interest in Foodstead, LLC or voting rights in its management.

2. Membership Terms

1. Membership is open to individuals and households who agree to the terms of this Agreement. Producers may also apply for membership.
2. Membership is non-transferable and lasts for one year from the date Foodstead, LLC accepts the membership, unless renewed.
3. Members may use Foodstead, LLC’s member-only ordering system while their membership is active and in good standing.
4. Members agree to keep their contact information current and pay applicable membership fees.
5. Foodstead, LLC may suspend or revoke membership for nonpayment, misconduct, or repeated disruption of its operations.

3. Fees and Payments

1. The annual membership fee is $60 per household or $15 per month, payable when joining or renewing.
2. Members agree to pay the prices shown at checkout for the products they order, including any applicable taxes or charges.
3. Once an order is confirmed, changes or cancellations are subject to Foodstead, LLC’s order and refund policy. Foodstead, LLC will notify members if an ordered product becomes unavailable and will issue an appropriate refund or adjustment.
4. Foodstead, LLC may change membership fees and product prices with notice. A change to the annual membership fee will apply at the member’s next renewal..

4. Management & Authority

Foodstead, LLC makes decisions about its operations, including vendor selection, products offered, pricing, ordering schedules, and pickup arrangements.

Membership provides access to Foodstead, LLC’s member services. It does not give members an ownership interest in Foodstead, LLC, voting rights, or authority to make decisions on Foodstead, LLC’s behalf.

5. Product Risks and Responsibilities

1. Foodstead, LLC offers products from independent farmers and producers and handles those products as part of its ordering and pickup process.
2. Members agree to follow any storage, handling, and preparation instructions provided with the products they purchase.
3. Members understand that agricultural products may vary in size, appearance, and availability.
4. Each party remains responsible for its own actions and obligations under applicable law.

6. Privacy & Communication

1. Foodstead, LLC uses member information to manage memberships, process orders, coordinate pickup, and communicate with members. Foodstead, LLC may share information with vendors and service providers when needed for those purposes, and as required by law.
2. Members agree to receive communications necessary for their membership and orders, such as receipts, pickup details, schedule changes, and important product notices, by the contact methods they provide.
3. Members may choose whether to receive promotional emails or text messages from Foodstead, LLC and may opt out of those messages without ending their membership.

7. Termination

1. Foodstead, LLC may suspend or revoke a membership for nonpayment, violation of this Agreement, or conduct that Foodstead determines to be inconsistent with its purpose, values, policies, or the best interests of the Association or its members.
2. Members may cancel their membership at any time by notifying Foodstead, LLC. Cancellation does not automatically entitle a member to a refund of the annual membership fee.
3. If Foodstead, LLC revokes a paid membership or discontinues the membership program before the member’s term ends, Foodstead, LLC will address any refund due.
4. Foodstead, LLC, will communicate with the member about any outstanding product orders when a membership ends.

8. Acknowledgment & Agreement

• By signing below or accepting this Agreement electronically, the Member confirms that they have read and agree to its terms and conditions. The Member understands that an active membership is required to order products through Foodstead, LLC. 

Optional:

In the future, Foodstead, LLC is considering setting up workshops on life skills or other subjects. Ideas include sour dough, chicken processing, recipe sharing, gun safety, retirement planning, financial literacy, winter gardening, seed starting, emergency planning, etc.
